Tesla shareholders made headlines last November when they signed off on what is now the largest executive compensation arrangement ever put to a vote — a package that could deliver roughly $1 trillion in awards to CEO Elon Musk over a decade. The plan, approved at the company’s annual meeting, would also lift Musk’s voting stake in the electric vehicle maker from 13.6% to 24.9%, deepening his control over the company he has led since 2008.

The centerpiece of the package is an aggressive set of operational and market value targets. Among the most striking: Tesla’s market capitalization would need to climb to $8.5 trillion for Musk to collect the full payout. For context, Tesla, Inc. (NASDAQ: TSLA) currently carries a market cap of roughly $1.23 trillion, with shares changing hands at about $354.08 — down 5.49% from the prior close of $374.64. Reaching the top-tier target would therefore require the company’s valuation to expand several times over during the plan’s 10-year window.

The milestone-based structure ties Musk’s rewards directly to shareholder outcomes. The award tranches unlock only as Tesla clears escalating thresholds that span both financial performance and valuation. If the company falls short, Musk receives nothing from those tranches — a design supporters argue aligns the CEO’s incentives with long-term value creation rather than short-term stock movement.

The vote itself was closely watched, coming amid debate over Musk’s attention across his portfolio of companies and prior legal challenges to earlier Tesla pay arrangements. Approval gives the board a framework intended to retain Musk at a moment when competition in the EV market is intensifying and Tesla continues expanding into energy generation and storage, its second reporting segment alongside automotive.

For shareholders, the calculus is straightforward: the plan carries no guaranteed cost unless ambitious targets are met, but it does concentrate more voting influence in Musk’s hands as tranches vest. The jump to 24.9% voting power means major corporate decisions would increasingly hinge on a single executive’s preferences.
