FINRA Survey Finds Many Investors Overlook Key Disclosure Documents

Disclosure documents are among the most important materials investors receive, yet a new analysis suggests many may be ignoring them. These written summaries describe the terms, fees, risks and transaction details tied to brokerage firms, financial professionals and investment products ranging from individual stocks and bonds to mutual funds, exchange-traded funds and municipal securities. They also lay out what investors pay in fees and record their holdings and trade activity.

According to the Investor Survey component of the FINRA Investor Education Foundation’s 2024 National Financial Capability Study (NFCS), just 51 percent of investors recall receiving disclosure documents, and a smaller share say they even skim them. The foundation argues that reviewing these materials can help investors make more informed decisions, avoid unexpected costs and catch potential issues before they become larger problems.

Disclosures typically come into play at several moments: when evaluating a new brokerage firm, opening an account, exploring a new investment strategy, or purchasing specific products. Regulators treat these documents as a core consumer protection mechanism, but their usefulness depends on investors actually reading them — which the NFCS data suggests is far from universal.

Why It Matters for Tech-Heavy Portfolios

The findings come as retail participation in technology stocks remains high, including volatile names like Strategy Inc (NASDAQ: MSTR), a software-application company that operates as a bitcoin treasury firm and offers securities with varying degrees of economic exposure to Bitcoin. Such instruments often carry layered risk disclosures — covering both equity market exposure and cryptocurrency volatility — making document review particularly consequential for investors in this corner of the market.

Shares of Strategy Inc closed at $132.70, down 3.03 percent from the previous close of $136.85, with a market capitalization of roughly $52.7 billion. Investors weighing positions in companies with unconventional asset strategies encounter some of the densest disclosure materials in the market, from prospectuses to risk-factor summaries.

What to Watch

  • Future FINRA Foundation releases tied to the National Financial Capability Study, including updated investor-survey data on disclosure engagement.
  • Any regulatory or industry initiatives aimed at simplifying disclosure documents or improving investor readership rates.
  • Upcoming earnings reports from bitcoin-treasury companies such as Strategy Inc, which typically accompany supplemental risk disclosures.
